Partner Agreement
This Partner Agreement ("Agreement") is between you ("you" or "Partner") and Routinli ("Routinli", "we", "us"). It governs your use of the Routinli Partners portal at partners.routinli.com (the "Portal") to create, publish, and sell Programs distributed through the Routinli mobile app. It applies in addition to, not instead of, our general Terms of Service — where the two conflict on a matter specific to partners, this Agreement controls. By creating a partner account, submitting a Program for review, or accepting a payout, you agree to this Agreement.
1. Overview
Routinli operates a marketplace where vetted Partners build routine-based Programs — collections of Routines, each broken into Steps — that Members discover and download in the Routinli mobile app ("App"). The Portal and the App together make up the "Platform".
Routinli is the merchant of record for every paid transaction on the Platform. You are an independent creator, not an employee, agent, contractor, or joint venturer of Routinli, and nothing in this Agreement creates such a relationship.
2. Definitions
3. Eligibility & verification
You must be at least 18 years old and able to form a binding contract to create a partner account. You must provide accurate information about yourself and your brand, and keep it current.
New accounts start unverified. While unverified, you may build and edit Programs as drafts but cannot submit them for review or receive payouts. Routinli reviews and verifies partner accounts at its discretion and may decline or revoke verification for any partner who does not meet our quality, safety, or trust standards.
To receive payouts, you must also complete onboarding with our payment processor (Stripe), which includes its own identity-verification requirements and is only available if you are based in a country Stripe Connect supports for payouts. If your country isn't supported, you may still use the Portal to build and publish free Programs, but cannot publish paid ones.
4. Your content
You retain ownership of everything you upload or write — Program, Routine, and Step content, including titles, descriptions, images, and video ("Partner Content").
By publishing a Program, you grant Routinli a worldwide, royalty-free, non-exclusive license to host, reproduce, display, distribute, and promote that Partner Content — in the App, on Routinli's marketing channels, and anywhere else Routinli reasonably promotes the Platform — for as long as the Program remains published, and for a reasonable period afterward so that Members who already downloaded it retain access. You may unpublish or delete a Program at any time, subject to Section 10.
You confirm that you own or have the necessary rights to everything you upload, and that it doesn't infringe anyone else's copyright, trademark, or other rights. See our Copyright & DMCA Policy for how we handle infringement claims.
5. Content standards & review
Before a Program can go live, it passes review. At minimum, it must have:
- A title, goal, and description
- A cover image and square tile
- At least one Routine, and every Routine has at least one Step
- A price — free or paid, either is fine, but it must be a deliberate choice
Beyond completeness, Routinli reviews Programs for accuracy, safety, and fit with our community standards. We may reject a submission, request changes, or remove a live Program at our discretion — including where instructions could be unsafe, content is misleading, or Partner Content violates someone else's rights. Routines and Steps involving fitness, nutrition, or wellness guidance are not a substitute for professional medical advice, and you're responsible for making that clear where relevant within your own content.
6. Pricing & platform fee
You set the price for each Program in Canadian dollars (CAD) — free, or a one-time price of $2.00 to $999.99. There's no price between free and $2.00: below that, Routinli's minimum fee (below) would leave you with almost nothing. A Program's category is fixed once the Program is created and can't be changed afterward.
Free Programs are never charged a fee, no matter how many times they're downloaded.
Paid Programs are subject to a Platform Fee of 12% of the sale price, or a flat $1.00, whichever is greater. The flat minimum only applies to low-priced Programs — as the price rises, your effective fee moves toward a clean 12%. This is net: payment processing and payout costs are already covered inside the Platform Fee, and nothing further is deducted from your share.
Programs are sold on routinli.com only for the current version of Routinli — the price a Member sees on the web is the only price there is. Routinli may in future offer additional ways to buy a Program, such as directly within the mobile app through an app store's own payment system. Where that involves a fee charged by that app store, it would be deducted from your share on that channel specifically, and we'll tell you with reasonable advance notice — at least 30 days — before any such channel affecting your existing Programs goes live.
7. Payments & payouts
Payments from Members on routinli.com are processed through Routinli's Stripe Checkout, with Routinli as merchant of record. Your share of each sale is transferred to you via Stripe Connect, to the connected account you set up during payout onboarding.
You're responsible for keeping your connected account's details accurate and in good standing. Routinli pays out on a monthly schedule by default; Routinli isn't responsible for delays caused by Stripe or your bank.
8. Taxes
As merchant of record, Routinli is responsible for determining, collecting, and remitting any applicable sales tax, VAT, or GST on the transaction itself.
You are solely responsible for reporting and paying any income tax owed on your own earnings (your share), under the laws of your own country and jurisdiction — the same as any independent seller. Where legally required, Routinli may issue you a tax form (for example, a 1099 for US-based partners) reflecting what you were paid.
9. Refunds
Member refunds are governed by our Refund Policy. Where a sale is refunded, the corresponding transfer to you may be reversed — you won't keep your share of a transaction that's later refunded.
10. Publishing & removal
A Program moves through these statuses:
- Draft — fully editable, visible only to you
- In review — submitted, awaiting a decision
- Needs changes — a reviewer left notes; edit and resubmit
- Live — published in Explore and open to downloads
- Unlisted — pulled from Explore without being deleted; you can relist it anytime
You may unlist a live Program at any time. Once a Program has at least one download, it can't be deleted outright — Members who already have it keep access — but it can always be unlisted. Routinli may also remove or unlist a Program that violates this Agreement, with notice where practical.
11. Member data & privacy
Routinli does not share individual Member identity with Partners. Everything the Portal shows you about Members — downloads, ratings, likes — is aggregated and anonymous. You will never be given a Member's name, contact details, or any other way to identify them individually, and you agree not to attempt to obtain or infer that information through the Platform. See our Privacy Policy for more.
12. Term, suspension & termination
This Agreement stays in effect while you have a partner account. You may close your account at any time. Routinli may suspend or terminate your account for breach of this Agreement, our Terms of Service, or our content standards, or where we reasonably believe it's necessary to protect Members or the Platform.
Termination doesn't affect Members' existing access to Programs they already downloaded, and doesn't forfeit payouts already earned for completed, non-refunded sales.
13. Disclaimers & liability
The Platform is provided "as is." Routinli doesn't guarantee any level of downloads, sales, or earnings from your Programs. To the fullest extent permitted by law, Routinli's total liability arising from this Agreement is limited to the Platform Fees paid on your account in the twelve months before the claim arose.
14. Indemnification
You agree to indemnify and hold Routinli harmless from claims, damages, or expenses arising from your Partner Content, your breach of this Agreement, or your violation of someone else's rights.
15. Changes to this agreement
We may update this Agreement from time to time. Material changes will be flagged in the Portal. Continuing to use the Portal after an update takes effect means you accept the revised Agreement.
16. Governing law & contact
This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law principles.
Questions about this Agreement can be sent to our support team via the Help & guides page.
